ENTHRAUDIO STANDARD SOUND EFFECTS LICENSE AGREEMENT

This End User License Agreement ("Agreement") is between ENTHRAUDIO LLC, an Ohio limited liability company ("ENTHRAUDIO"), and the purchasing individual or legal entity identified in the purchase record ("Licensee"). Before completing a direct purchase, the purchaser must be given access to this Agreement and affirmatively accept it. A person accepting on behalf of a legal entity represents that they have authority to bind that entity. The purchaser must have legal capacity to enter this Agreement; where required, a parent or legal guardian must be the purchaser and Licensee. Merely browsing the website does not constitute acceptance of this sound-library license. The version recorded with the order governs that purchase.

1. LICENSE GRANT
Subject to payment and compliance with this Agreement, ENTHRAUDIO grants Licensee a perpetual, worldwide, non-exclusive, non-transferable license, subject to section 11, to reproduce, edit, synchronize, combine, distribute, transmit, and publicly perform the licensed recordings as incorporated into finished creative productions. Permitted productions include games, films, television, trailers, advertising, podcasts, music, broadcasts, applications, interactive media, installations, live productions, and comparable commercial or non-commercial works. No additional per-production royalty is payable to ENTHRAUDIO for these permitted uses. This grant does not authorize distribution of recordings as source assets or grant rights ENTHRAUDIO does not own or control.

2. LICENSEE AND COLLABORATORS
The license belongs to the purchasing individual or legal entity identified in the purchase record. Licensee may allow its employees and contractors to access the sounds only as necessary to work on Licensee's permitted productions, including productions commissioned by its clients, under obligations consistent with this Agreement. Collaborators must not retain the source files for personal use, use them in unrelated projects, or create their own reusable library from them. Licensee must use reasonable measures to ensure their compliance and remains responsible for access it authorizes. If a purchase is for a legal entity, that entity must be identified to ENTHRAUDIO in the order or an agreed written addendum; an email address alone does not establish a separate entity's license.

3. PERMITTED MODIFICATION
Licensee may edit, layer, process, pitch, time-stretch, mix, and otherwise transform the sounds for permitted productions, subject to section 5. Ordinary non-AI audio editing, format conversion, playback, level analysis, and non-learning catalog or search operations for those uses are permitted. Modification does not transfer ownership of the underlying recording or make a source sound eligible for resale or redistribution.

4. PROHIBITED REDISTRIBUTION
Licensee must not sell, share, sublicense, lend, upload, distribute, or otherwise supply the recordings, original or modified, as standalone or reusable source assets. They must not be included in another sound library, sample pack, template, preset, asset bundle, stock-media collection, public repository, or product whose principal value is access to the recordings themselves. A permitted production must add meaningful creative context. An audible isolated effect within that context is permitted; mixing in another sound solely to disguise the recording is not required.

Games and applications must use reasonable packaging or access controls appropriate to the product and must not offer an export or download feature for the recordings as standalone assets. Extraction by a third party despite reasonable safeguards does not by itself establish Licensee's breach. Licensee must not register the non-exclusive source recordings in an automated copyright-claim system in a way that asserts exclusive rights in those recordings or blocks other lawful licensees. This does not prevent protection of Licensee's original finished work.

5. AI AND MACHINE-LEARNING PROHIBITION
No ENTHRAUDIO sound, metadata, edit, or derivative may be submitted, uploaded, ingested, disclosed, or made available to any artificial-intelligence or machine-learning system for training, fine-tuning, evaluation, benchmarking, dataset creation, embeddings, feature extraction, model development, generative synthesis, source separation training, or any other learning or model-building purpose. This prohibition applies whether the system is public, private, local, hosted, commercial, academic, or experimental. Licensee must not supply these materials to a provider under terms that authorize those uses. Section 3's permission for ordinary non-AI processing does not authorize these prohibited purposes or grant a separate permission to upload source assets to hosted AI tools.

6. OWNERSHIP
ENTHRAUDIO and its licensors retain all copyright, title, and ownership in the licensed recordings and associated materials. Licensee receives only the rights expressly granted by this Agreement. No trademark rights, ownership interest, or right to claim authorship of the source recordings is transferred. Licensee retains its rights in its own original contributions. Licensee is responsible for rights in other material it adds to a production; this does not excuse ENTHRAUDIO from express commitments or responsibilities that applicable law imposes on it.

7. CLIENT WORK AND CREDIT
Licensee may incorporate the sounds into productions created for clients and deliver those finished productions to them. Licensee may authorize its clients, publishers, broadcasters, platforms, and distributors to reproduce, distribute, transmit, exhibit, and publicly perform those finished productions as necessary to exploit them. These permissions do not grant an independent right to extract, reuse, or distribute the recordings as source assets. A client needing independent source-file access or reuse must obtain an appropriate license. Credit is appreciated but not required unless a separately accepted written agreement says otherwise.

8. BACKUPS AND SECURITY
Licensee may make reasonable backup copies for its licensed use and must use reasonable safeguards against unauthorized access or distribution. Licensee must promptly stop unauthorized access within its control upon discovering it. Lost or expired delivery links do not expand the license. ENTHRAUDIO may reissue access to the original purchase address after verifying the order. Delivery-link expiration does not terminate the license, and this section does not limit mandatory delivery or other remedies.

9. UPDATES
ENTHRAUDIO may provide corrections or updates to a purchased library at its discretion, except where an update or remedy is required by applicable law or an express commitment. An update remains governed by the license version attached to the applicable order unless Licensee affirmatively accepts a replacement agreement. A later website revision alone does not amend an existing purchase.

10. DIGITAL DELIVERY AND REFUNDS
ENTHRAUDIO does not offer voluntary change-of-mind refunds, exchanges, or cancellations after digital access is delivered, except where stated otherwise in writing. This policy does not limit mandatory cancellation, refund, repair, replacement, or other legal remedies. For non-delivery, an incorrect or corrupt file, a duplicate charge, or a material mismatch with the description, contact trevor@enthraudio.com with the order number. ENTHRAUDIO will investigate and provide the remedy required by applicable law. Lawful payment-provider dispute rights remain unaffected.

Where applicable law requires separate consent to begin supply during a withdrawal period and acknowledgment of the resulting loss of a withdrawal right, that consent and acknowledgment must be obtained before supply begins and confirmed with the order. This Agreement does not itself waive that right or replace a legally required separate acknowledgment. Rights concerning faulty, misdescribed, or nonconforming content remain unaffected.

11. TERMINATION
For a material breach capable of remedy, ENTHRAUDIO may terminate this license if Licensee does not remedy the breach within 14 days after written notice describing it. Subject to mandatory law, ENTHRAUDIO may terminate immediately for intentional unauthorized source-file distribution, prohibited AI or model-development use, or a material breach that cannot reasonably be remedied. Exercising a lawful complaint, review, or payment-dispute right is not itself a breach.

On termination, Licensee must stop new uses, delete source files from active use, and end collaborator access. Copies in inaccessible routine backups may remain until normal deletion, and legally required archival records may be retained, but neither may be used for production or restored to active use. Finished productions lawfully completed before termination may continue to be distributed unless their distribution itself violates this Agreement or applicable rights, or a court orders otherwise. Ownership, source-asset restrictions, accrued obligations, and provisions intended to operate after termination survive to the extent applicable and lawful. Mandatory legal rights and remedies survive.

12. DISCLAIMER AND LIMITATION OF LIABILITY
EXCEPT FOR EXPRESS COMMITMENTS IN THE APPLICABLE PRODUCT DESCRIPTION, ORDER, OR THIS AGREEMENT, AND RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED, THE LICENSED MATERIALS ARE PROVIDED "AS IS." TO THE EXTENT PERMITTED BY APPLICABLE LAW, ENTHRAUDIO DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, OR ANY LIABILITY OR REMEDY THAT APPLICABLE LAW DOES NOT PERMIT THE PARTIES TO EXCLUDE OR LIMIT, INCLUDING LIABILITY FOR DEATH OR PERSONAL INJURY WHERE IT CANNOT LAWFULLY BE LIMITED.

SUBJECT TO THOSE EXCEPTIONS, AND ONLY WHERE ENFORCEABLE, ENTHRAUDIO'S AGGREGATE LIABILITY ARISING FROM A LICENSED LIBRARY IS LIMITED TO THE AMOUNT LICENSEE PAID FOR THAT LIBRARY. SUBJECT TO THE SAME EXCEPTIONS, ENTHRAUDIO EXCLUDES INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, AND LOST-PROFIT DAMAGES TO THE EXTENT PERMITTED BY LAW. THESE LIMITATIONS DO NOT REDUCE A MANDATORY REFUND OR OTHER NON-EXCLUDABLE REMEDY. CONSUMERS RETAIN ALL MANDATORY RIGHTS UNDER APPLICABLE LAW.

13. GOVERNING LAW AND SEVERABILITY
Ohio law governs this Agreement, subject to mandatory laws that protect Licensee and cannot be excluded by a choice of law. Courts of competent jurisdiction serving Ashland County, Ohio are the agreed forum except where mandatory law gives Licensee another forum or a right to proceed elsewhere. Nothing prevents a complaint to a regulator or use of a non-waivable remedy. If a provision is unenforceable, a court may narrow it only to the extent legally permitted; otherwise it will be severed, with the remainder continuing where lawful.

14. ENTIRE AGREEMENT; CHANGES
This Agreement, the applicable order and incorporated product and sale terms, and any mutually accepted written addendum govern the purchase. A mutually accepted addendum controls a conflict within its stated scope. Product and sale terms supplement this Agreement without erasing enforceable express promises or mandatory rights. A later website revision does not retroactively change the license snapshot recorded with an earlier order. An amendment requires affirmative agreement by both parties. A waiver must be given in writing by the party whose right is waived and applies only to the stated matter. Failure or delay in enforcing a provision does not by itself waive it.

15. DISTRIBUTOR PURCHASES
Direct purchases from enthraudio.com are governed by the license presented and accepted for that purchase. Purchases through A Sound Effect or another authorized distributor are governed by the license and sale terms presented and accepted through that distributor, including any ENTHRAUDIO addendum properly incorporated before purchase. Accidentally including this direct-sale document does not add new contractual restrictions to a distributor purchase. ENTHRAUDIO retains its intellectual-property rights, and the purchaser receives only the rights granted through the applicable distribution arrangement.

16. PLAYBACK PRECAUTIONS
Start playback at a low monitoring level. Recordings may contain abrupt transients and large level changes. Check levels before raising volume, processing audio, or playing through headphones or loudspeakers. This practical guidance does not waive any mandatory right or excuse conduct for which liability cannot lawfully be excluded.
